Position Summary

Under the general supervision of Legal Department attorneys, the Paralegal supports the legal needs of the organization, including in the areas of corporate governance and compliance, associated regulatory filings and reports, corporate and real estate transactions, litigation support, trademark and tradename filings, general contracting, and physician contracting and associated compliance. The Paralegal also performs various Legal Department administrative functions, including, maintenance of department policies and guidelines, and maintenance of electronic contract database, and document and file management and retention systems. The Paralegal exercises expert judgment, handles sensitive and confidential matters with minimal supervision, and proactively supports the efficiency and effectiveness of the Legal Department.

Essential Functions and Responsibilities of the Job

Corporate Governance and Compliance; Associated Regulatory Filings and Reports

  • Independently support governance functions for senior leadership, including drafting and finalizing board and committee minutes, resolutions, written consents, certificates, and other related documentation.

  • Develop, oversee, and update board and committee calendars, manage and audit the BoardEffect platform, and lead the preparation and implementation of governance self-assessments.

  • Lead updates to corporate articles, bylaws, partnership and operating agreements, and other organizational documents, ensuring ongoing accuracy and compliance.

  • Perform corporate searches (e.g., corporate name and status, fictitious business names, UCC-1 liens) and complete other routine corporate filings (e.g., Statement by Domestic Nonprofit Corporation, LLC forms, UCC Forms, Fictitious Business Names) with the California Secretary of State’s office and appropriate county agencies.

  • Liaise with and support Accounting Department in preparation of annual organizational tax filings (e.g., Form 990’s) and assist with annual Conflict of Interest questionnaire and reporting process.

  • Update and maintain the corporate organizational chart and ensure its accuracy.

Corporate and Real Estate Transactions

  • Provide advanced support to attorneys with due diligence activities involving business related transactions, mergers and acquisitions, real estate leasing and acquisitions, and tax-exempt and other financing transactions

  • Oversee due diligence efforts, coordinate cross-functional information flow, and prepare comprehensive summaries, memoranda, and documentation.

  • Prepare routine formation documents, resolutions, and state and IRS organizational filings with a high degree of autonomy.

  • In consultation with management and internal or outside counsel, draft closing documents and certificates, organize closing binders and track important post-transaction documentation and obligations, ensuring compliance and timely follow-up.

  • Serve as a project manager to ensure deliverables, timelines, and communications are executed efficiently.

Litigation Support

  • Oversee and manage document production and discovery responses for litigation matters handled by the Legal Department.

  • Serve as the primary liaisonwith outside counsel on discovery, subpoenas, service of process, and litigation settlement matters.

  • Developand maintain practices for responding to third-party subpoenas and routine service of process.

  • Lead the preparation, maintenance, and reporting of litigation status updates for internal stakeholders, including risk management and audit teams.

  • Timely tender all litigation and threats of litigation to the EPLI carriers; provide routine updates to EPLI carriers and broker; maintain records of all tendered matters.

Trademark and Tradename Filings

  • Independently manage the organization’s trademark and tradename portfolio in coordination with outside intellectual property counsel.

  • Prepare and file trademarkrenewals, fictitious business name statements, and similar filings.

  • Maintain and oversee all calendars and tracking systems related to required registrations and renewals.

General Contracting and Other Documents

  • Draft, review and revise routine contracts, including confidentiality agreements, transfer agreements, educational affiliation agreements and other standard organizational contracts.

  • Develop and refine templates and tools for contract efficiency.

  • Collaborate closely with the Contracting Group to ensure effective contract lifecycle management and consistent application of legal standards .

Physician Contracting and Compliance

  • Serve as the system administrator for the contract lifecycle management (“CLM”) system, including have deep knowledge of the system, as well as managing and configuring the system, e.g., updating the contract request form, adding a contract field, tracking a contract type, etc.

  • Create training tutorial guides, presentations, videos, and/or conduct webinars for users, e.g., how to log in, how to create a contract request, etc.

  • Manage all legal requests submitted through the CLM system.

  • Provide assistance to staff on how to use the CLM system.

  • Create custom contract reports, dashboards, and alerts i.e., expiring contracts, renewals, terminations, etc. in the CLM system.

  • Preparephysician agreements, including professional services and medical directorships, using approved templates and applying strong compliance knowledge

  • Review agreements for compliance with organization policies and procedures within the CLM system, and regulatory expectations.

  • Manage FMV processes, interface with valuation firms, and maintain comprehensive documentation supporting FMV reviews in the CLM system.

  • Maintain andupdate physician contract templates and toolkits and oversee processing in the CLM system.

Department Administration

  • Manage, oversee, and improve processes related to legal service requests and Legal Department electronic filing systems.

  • Lead the development and optimization of workflows to ensure effective and compliant submissions from business units, and provide training and guidance on use of electronic systems.

  • Support attorneys in managing outside counsel engagements, including organizing engagement letters, monitoring billing, and ensuring adherence to outside counsel guidelines.

  • Develop tracking tools and dashboards to analyze spending, identify trends, and support budgeting and performance management.

  • Serve as secondary system administrator for the e-billing and matter management system, including: having deep knowledge of the e-billing and matter management system; maintaining the outside counsel billing policy and guidelines and monitoring outside counsel compliance; creating reports to track outside counsel spending relative to budgets; identify trends and isolate data for use in selecting and negotiating outside counsel engagements, assessing efficiency, tracking alternative fee arrangements, etc.; and Respond to questions raised by staff and outside counsel about the e-billing and matter management system.

  • Provide advanced support with annual budget development and management.

  • Maintain and update select corporate policies assigned to the Legal Department.

  • Manage and update the Legal Department intranet website.

General Responsibilities and Skills

  • Serve as the back-up to the Legal Secretary when he/she is out of the office or unavailable to respond to in-person service for summons and subpoenas.

*Placement in the pay range is based on multiple factors including, but not limited to, relevant years of experience and qualifications. Minimum Requirements

Qualifications/Work Experience:

  • Extensive experience supporting large organizational clients in a law firm and/or in-house legal department.

  • Demonstrated expertise with corporate governance, business formations, regulatory filings, and contract drafting and review.

  • Experience with nonprofit and healthcare organizations strongly preferred.

  • Familiarity with healthcare, insurance, or similar regulatory frameworks is preferred.

  • Advanced proficiency in Microsoft Office and strong experience with electronic databases, contract management systems, and document management platforms.

     

Education/Licensure/Certification:

  • Paralegal certificate from an accredited institution required.

  • Bachelor’s degree from a four-year accredited university strongly preferred.
